Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the websites, applications, and services provided by Ardent Labs ("Ardent Labs," "we," "us," or "our"), including ardentlabs.io and any services linked from it (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 13 years old, or the minimum age required in your jurisdiction, to create an account or use the Services on your own behalf. Users under 13 may only use the Services under parental or school supervision, in compliance with the Children's Online Privacy Protection Act (COPPA).

When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at info@ardentlabs.io if you believe your account has been compromised.

2. Our Services

We provide software applications and platforms for learning, teaching, student management, and related educational activities. The features available to you may vary depending on the specific application, your role (student, parent, teacher, administrator), and the program you are enrolled in. We may modify, suspend, or discontinue all or part of the Services at any time with or without notice.

You retain ownership of any content you submit through the Services (assignments, responses, messages, uploads). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display that content solely as needed to provide and improve the Services, and to comply with legal obligations.

You are responsible for the content you submit. Do not upload anything you do not have the right to share.

5. Intellectual Property

The Services, including all software, text, images, logos, graphics, and design elements, are owned by Ardent Labs or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, personal, non-transferable, non-exclusive license to access and use the Services for your own educational or business purposes as authorized by your account.

"Ardent Labs," the Ardent Labs logo, and related marks are trademarks of Ardent Labs. You may not use them without our prior written permission.

6. Payments and Refunds

Some Services require payment. By purchasing a paid service, you authorize us or our payment processor to charge the payment method you provide. Fees are described at the point of sale and are non-refundable except as required by law or as expressly stated in a refund policy that applies to the specific service. All fees are in U.S. dollars unless otherwise stated.

By providing your email address or mobile phone number, you consent to receive transactional communications from us related to your account — including receipts, appointment reminders, billing notices, security alerts, and similar messages. SMS messages are governed by the SMS section in our Privacy Policy.

Ardent Labs will not share, sell, or rent your phone number to any third party. Your SMS information is used solely to deliver the transactional messages you have consented to, and not for marketing or promotional purposes. Message frequency varies; message and data rates may apply. You may opt out of SMS at any time by replying STOP to any message; reply HELP for help. Opt-in and opt-out records are retained for compliance purposes.

8. Third-Party Services and Links

The Services may integrate with or link to third-party services (for example, payment processors, identity providers, SMS carriers, schools, and external websites). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by those third parties' terms and privacy policies.

Our Privacy Policy explains how we collect, use, and share information about you. By using the Services, you agree to the practices described there.

10. Termination

You may stop using the Services at any time and request deletion of your account by contacting us at info@ardentlabs.io. We may suspend or terminate your access to the Services if you violate these Terms, if we are required to by law, or if the Services are being discontinued. Upon termination, your right to use the Services will cease; sections that by their nature should survive (for example, intellectual property, disclaimers, limitations of liability, indemnification) will continue.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. To the maximum extent permitted by law, we disclaim all warranties regarding the accuracy, completeness, or reliability of any content on the Services.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will Ardent Labs, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services — even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services is limited to the greater of (a) the amounts you paid us for the Services in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

You agree to defend, indemnify, and hold harmless Ardent Labs and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts. You and Ardent Labs each waive the right to a jury trial and the right to participate in a class action or collective arbitration to the extent permitted by law.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, if changes are material, provide additional notice (for example, by email or a prominent notice on our site). Your continued use of the Services after a change indicates acceptance of the updated Terms.
